Terms of Service

These are the terms for using BGP AI. We've written them in plain language because we'd rather you actually read them. By creating an account or using the Service, you agree to these terms.

1. Who we are and acceptance

BGP AI (the “Service”) is operated by Friends Realty Investments Ltd. (“BGP AI,” “we,” “us,” or “our”). These Terms of Service (the “Terms”) form a binding agreement between you and us. If you use the Service on behalf of a business, you confirm you are authorized to accept these Terms for that business, and “you” refers to that business.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is a business tool and is not intended for personal, household, or consumer use.

3. An invitation-only beta

BGP AI is an early-stage service open to founding clients by invitation. That means things will keep improving — and occasionally changing — while we build alongside you. Features may be added, changed, or removed, and the Service may contain bugs. We'll let you know about meaningful changes before they affect you.

4. Your account and teams

You are responsible for the activity under your account and for keeping your credentials secure. You must give accurate account information and keep it up to date. If you invite team members, you are responsible for their use of the Service and for the permissions and approval policies you assign them. Tell us promptly at hello@bgp.ai if you suspect unauthorized access.

5. Subscriptions, credits, and billing

Your subscription gives you a monthly credit allowance that your assistant uses when it works for you. Unless stated otherwise:

  • Credits reset each cycle. Unused plan credits reset at the start of each billing cycle and do not carry over.
  • Automatic renewal. Subscriptions renew automatically for the same period until cancelled. You authorize us to charge your payment method on each renewal.
  • Payments via Stripe. Payments are handled by Stripe, and we never store your card numbers.
  • Taxes. Fees are exclusive of taxes; you are responsible for any applicable taxes, except taxes on our income.
  • Non-refundable. Except where required by law, fees already paid are non-refundable, including for partial billing periods.
  • Price changes. We may change pricing for future billing periods and will give you reasonable notice before a change takes effect.

6. Acceptable use

Use BGP AI for your business, honestly and lawfully:

  • Don't use the Service to break the law, infringe others' rights, harass people, or send spam.
  • Don't try to break into, overload, disrupt, or reverse-engineer the Service, or circumvent its security or usage limits.
  • Don't share your account with people outside your business or resell the Service without our written permission.
  • Don't upload malicious code, or content you don't have the right to use.

If use of the Service breaks these rules or puts other clients or the platform at risk, we may suspend the account while we sort things out with you.

7. The approval model

Your assistant can read from the tools you connect while it is answering you. Anything it writes or sends — an email, an invoice, a social post, a booking — is prepared as a task and executes only after approval. Human approval is the default for every outbound action, and you decide which of your team members may approve what.

An administrator of your workspace can hand approval to Board AI instead. It reviews each proposed action against your business and your standing rules and either approves or rejects it, recording a written reason either way. Anything it cannot decide, and anything it cannot review — because the workspace is out of credits or the review fails — comes back to a person rather than going ahead.

Board AI is software and can be wrong, so choosing it means accepting that an action may execute without a person seeing it first. That is your decision to make and your responsibility once made. Either way, every action is logged with who or what approved it and why, and you are responsible for the approval policies you configure and for the actions you or your team approve.

8. Your content

You keep all rights to the business information, documents, and other content you provide (“Your Content”). You grant us a limited license to host, process, and use Your Content solely to provide and improve the Service for you and to carry out the actions you approve — which includes transmitting the relevant parts of it to the AI providers and subprocessors named in our Privacy Policy, and to the services you connect, so they can do the work you asked for. You are responsible for Your Content and for having the rights and any consents needed to provide it to us and to have us process it — including, where BGP AI processes information about your own contacts or customers, the right to do so.

9. AI output and human review

BGP AI uses artificial intelligence to generate drafts, suggestions, and actions. To do that, the content relevant to your request is sent to third-party AI providers under agreements that prohibit them from training on it; we do not train models on your data. Section 10 and our Privacy Policy name those providers and say exactly what reaches them.

AI output is generated by statistical models, not by a person checking the facts. It can be wrong, incomplete, out of date, biased, or simply unexpected, and it can be confidently wrong. It may also closely resemble output generated for someone else. We do not warrant that any output is accurate, complete, current, original, fit for your purpose, or free of third-party rights.

You are responsible for reviewing output before you approve it, publish it, send it, file it, or otherwise rely on it, and for the consequences of doing so. BGP AI is not a substitute for professional advice — legal, tax, accounting, financial, medical, employment, or otherwise — and you should get that advice before acting on output that touches those areas. The decisions remain yours.

As between you and us, output generated for you is treated as Your Content, to the extent it can be owned and subject to each AI provider's own terms. Because similar output may be generated for other users, we cannot promise any output is unique or exclusive to you.

10. AI providers and model changes

The Service is delivered using third-party AI providers, currently including OpenAI, Anthropic, Google, xAI, Moonshot AI, Cohere, and HeyGen. By using the Service, you authorize us to transmit the content necessary to fulfil your requests to those providers on your behalf, and you confirm you have the rights and any consents needed for us to do so — including where that content contains information about your own contacts, customers, or staff.

Each of those providers is an independent third party. Their services are governed by their own terms and privacy policies, which our Privacy Policy links to and which you should read. We are not responsible or liable for:

  • a provider's acts or omissions, or its handling of content after we have transmitted it under your instruction;
  • a provider's availability, latency, errors, capacity limits, or a security incident on its side;
  • a provider's safety systems refusing, filtering, or altering a request — that decision is theirs, applied before we see a result, and is not a defect in the Service;
  • changes a provider makes to its models, APIs, pricing, or terms, including where such a change degrades, delays, or interrupts the Service.

We may add, replace, or stop using a provider or model at any time — for availability, quality, cost, or because a provider changes its own terms — and a request may be routed to a different provider of comparable capability where one is unavailable. Which models your workspace can choose between depends on your plan. Where such a change materially affects the processing of personal data, we notify you as described in the Privacy Policy.

11. Bringing your own API key

Some plans let you supply your own API key so AI usage runs on your own account with a provider. If you do:

  • You confirm you are entitled to use that key and that your use of it through BGP AI complies with that provider's terms. Your agreement is with them, directly.
  • Requests we make with your key are made on your behalf and billed to your account with that provider. You are responsible for those charges, for your own rate limits and quotas, and for any suspension or termination of your account with them.
  • You are responsible for the data-handling settings on your account with that provider — including whether they may retain or train on the content sent. The no-training commitments we hold on our own accounts do not extend to yours, and we cannot change your settings.
  • We store your key encrypted and use it only for the requests your workspace triggers. You may remove it at any time, and we delete it. If a key is invalid, exhausted, rate-limited, or revoked, the features depending on it stop working until you replace it, and we are not liable for that interruption or for anything that follows from it.

12. Synthetic media, likeness, and disclosure

The Service can generate images, video, synthetic speech, and presenter videos in which a person appears on camera reading a script. That capability carries obligations you take on when you use it.

  • Consent for a real person. If you upload or select a photograph, video, or voice of a real person — yourself, a colleague, a client, or a hired presenter — you confirm you have the rights and the informed consent needed to use that likeness and voice for this purpose, and to have our AI providers process it. Tell us if that consent is withdrawn, and we will remove the presenter.
  • Platform disclosure rules. You are responsible for complying with the rules of every platform you publish to, and with any law that applies to AI-generated or manipulated media. Where a platform requires an AI-content or synthetic-media declaration, you must set it correctly when you approve the post.
  • What you must not create. Do not use the Service to depict a real person without their consent, to imply an endorsement that was not given, to misrepresent a real event, or in any way that infringes publicity, privacy, or intellectual property rights.

13. Third-party integrations

BGP AI connects to services including Google (Gmail), Meta (Facebook Pages and Instagram), TikTok, Intuit QuickBooks Online, GoHighLevel, monday.com, GitHub, and Slack, plus any custom app your administrator configures. When you connect one, you authorize BGP AI to access and exchange data with it on your behalf, using the permissions shown to you at the moment you connect. Our Privacy Policy sets out exactly what we read, write, and store for each service.

By connecting a service you confirm that:

  • You own the account or are authorized by its owner to connect it to BGP AI, and you have any consents needed from the people whose data it holds.
  • Your use of that service through BGP AI complies with that provider's own terms and policies — including Google's API Services User Data Policy, Meta's Platform Terms, TikTok's Developer Terms, Intuit's developer terms, and the terms of GoHighLevel, monday.com, GitHub and Slack — and with laws that apply to what you send, such as anti-spam and marketing rules.
  • You will not use the Service to send unsolicited bulk messages, or to publish content you do not have the right to publish, through any connected account.

Once something is sent, it is out of our hands. When an approved action executes — an email sent, a post published, an invoice raised, a message posted — that content leaves BGP AI and is held by the receiving platform and by whoever can see it there. We cannot recall a sent email, unpublish a post a platform has already distributed, or delete a record we have written to another service. Deleting it in BGP AI does not delete it there. Please weigh that before you approve an action, and before you hand approval to Board AI.

Each connected service is governed by its own terms and privacy policy, in a relationship between you and that provider. We are not responsible or liable for third-party services, their availability, their errors, their handling of data once it reaches them, their security, or changes they make to their APIs, pricing, or terms — including where such a change breaks or suspends an integration, or where a provider suspends or terminates your account with it. You can disconnect an integration at any time from your Integrations page, which deletes the stored credentials immediately.

14. Intellectual property

The Service, including its software, design, and content (excluding Your Content), belongs to us and our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You may not copy, modify, or create derivative works of the Service except as these Terms allow. If you give us feedback, we may use it without obligation to you.

15. Confidentiality

Each of us may access information the other treats as confidential. We each agree to protect the other's confidential information and to use it only as needed to perform under these Terms. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.

16. Disclaimer of warranties

We work hard to keep the Service reliable and accurate, but the Service is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI outputs will be accurate.

This applies with particular force to anything supplied by a third party. AI providers, connected services, and other third-party components are made available to you “as is,” and we give no warranty of any kind about them — their accuracy, availability, security, continuity, or fitness for your purpose. We do not endorse any third-party service, and we make no representation about what any of them does with data after it reaches them.

17. Limitation of liability

BGP AI is a tool that helps you run your business — the decisions remain yours. To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or lost data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the event giving rise to the claim.

To the fullest extent permitted by law, and without limiting the above, we are not liable for loss or damage arising from:

  • an AI provider or a connected service — including its unavailability, latency, errors, refusals, security incidents, pricing, or any change to its models, APIs, or terms;
  • the handling of content by an AI provider or a connected service once it has been transmitted to them under your instruction, or under a key you supplied;
  • AI output that you or your approvers approved, published, sent, or relied on, including where it was inaccurate, misleading, or infringing;
  • content sent or published through a connected account, once it has left the Service and cannot be recalled;
  • an action approved by Board AI where your administrator chose to hand approval to it.

Nothing in these Terms limits liability that the law does not allow us to limit, including for fraud, wilful misconduct, or death or personal injury caused by negligence.

18. Indemnification

You agree to defend and indemnify us against claims, damages, and costs arising from Your Content, your use of the Service in breach of these Terms, or your violation of law or the rights of others. That includes claims arising from content you or your approvers sent or published through a connected account, from your use of or reliance on AI output, from a likeness or voice you supplied without the consent Section 12 requires, from your breach of a third-party provider's terms, and from your processing of another person's personal data through the Service without a lawful basis for it.

19. Cancellation, suspension, and termination

You can cancel anytime — no phone calls, no hoops. You'll keep access until the end of your current billing period, and your data is preserved, so if you come back your assistant picks up right where it left off. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your use poses a risk to the Service or other clients; where practical we'll give you notice and a chance to fix the issue.

20. Your data after termination

After your account closes, we retain and then delete your data as described in our Privacy Policy. You may request an export of Your Content within a reasonable period before deletion, and you may ask us to delete it sooner at any time — through the contact form at businessgrowthpartners.ai or by emailing us. Neither request requires an active subscription.

21. Changes to these Terms

We may update these Terms as the Service evolves. When we make material changes, we'll update the “Last updated” date above and notify you before they take effect. Your continued use of the Service after an update means you accept the revised Terms.

22. Governing law and disputes

These Terms are governed by the laws of Ontario, Canada, without regard to conflict-of-law rules. You and we agree to the exclusive jurisdiction of the courts located in Ontario, Canada for any dispute, except that either party may seek injunctive relief where appropriate. We encourage you to contact us first so we can try to resolve any concern informally.

23. General

These Terms, together with our Privacy Policy, are the entire agreement between us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
